1) Acceptance of these Terms

These Terms of Service (“Terms”) govern your access to and use of FreshCell Speech, including our websites, applications, and related services (collectively, the “Service”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.
If you use the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization, and “you” includes that organization.
2) Eligibility, accounts, and security

You may use the Service only if you are legally permitted to do so in your jurisdiction and you are able to form a binding contract with us.
If account creation is offered, you agree to provide accurate information and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.
You must notify us promptly of any suspected unauthorized access to your account. We may suspend or disable accounts when reasonably necessary to protect the Service, you, or others.
3) Acceptable use

You agree not to misuse the Service. In particular, you will not, and will not attempt to, directly or indirectly:
- Use the Service for unlawful, deceptive, fraudulent, or harmful activities.
- Interfere with, disrupt, or gain unauthorized access to any part of the Service, systems, or networks.
- Bypass or attempt to bypass rate limits, access controls, or security mechanisms.
- Reverse engineer the Service except to the extent such restriction is prohibited by law.
- Transmit malware, exploit code, or content intended to damage or compromise systems.
- Infringe, misappropriate, or violate the rights (including privacy and IP rights) of others.
- Use automated means to access the Service in a way that unreasonably burdens it (for example, abusive scraping).
We may investigate suspected violations and may suspend or terminate access as described in these Terms.
4) Content and intellectual property

“Your Content” means text, audio, files, prompts, or other materials you submit to the Service. As between you and us, you retain ownership of Your Content, subject to the licenses you grant in these Terms.
You grant us a non-exclusive, worldwide license to host, store, reproduce, process, and transmit Your Content solely as necessary to provide, maintain, and improve the Service and to comply with applicable law. This license continues for as long as Your Content is stored or processed for these purposes.
The Service, including its software, designs, logos, and all related intellectual property, is owned by FreshCell Speech or its licensors and is protected by applicable laws. Except for the limited permission to use the Service under these Terms, no rights are granted to you.
If you provide feedback, ideas, or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction.
5) Subscriptions, billing, and taxes (if applicable)

Some parts of the Service may be offered on a paid basis. Prices, billing intervals, and renewal terms will be presented at purchase.
If your plan renews automatically, you authorize us (or our payment processors) to charge the payment method on file at each renewal until you cancel. You can cancel according to the cancellation instructions available within your account or as otherwise provided at purchase.
You are responsible for all applicable taxes, duties, and similar governmental assessments, unless stated otherwise.
If a payment fails, we may retry the charge and may suspend or downgrade access until payment is received.
6) Privacy and communications

Our Privacy Policy describes how we collect, use, and share personal data.
We may send you transactional or service-related communications, such as security alerts, account notices, product updates, and administrative messages. Where required, you may be able to manage communication preferences.
7) Disclaimers

To the maximum extent permitted by law, the Service is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express, implied, or statutory.
We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components.
8) Limitation of liability

To the maximum extent permitted by law, FreshCell Speech and its affiliates, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising from or related to your use of (or inability to use) the Service.
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) USD $100.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
9) Suspension and termination

We may suspend or terminate your access to the Service at any time if we reasonably believe: (i) you have violated these Terms; (ii) your use creates risk or harm to the Service, other users, or third parties; or (iii) we must do so to comply with law.
You may stop using the Service at any time. Termination does not affect any rights or obligations that by their nature should survive termination (including payment obligations, disclaimers, limitations of liability, and dispute provisions).
10) Changes to the Service or Terms

We may modify, suspend, or discontinue the Service (in whole or in part) at any time. We also may update these Terms from time to time.
If we make material changes, we will take reasonable steps to notify you, such as by posting a notice on the Service or sending an email where appropriate. The “Effective” date above indicates when these Terms were last updated.
Your continued use of the Service after an update becomes effective constitutes acceptance of the updated Terms.
